Terms and Conditions

These terms govern access to and use of FilesUp. Read them before creating an account, sending files or using a sharing link.

1. Provider and acceptance

These Terms govern the service made available under the FilesUp brand ("FilesUp", "we", "us" or "our").

By creating an account or using the service, you accept the version of these terms in force at that time and the Acceptable Use Policy. The Privacy Policy explains how personal data is processed; it does not turn processing needed to perform the contract into consent-based processing.

If you use FilesUp for an organisation, you represent that you have authority to bind it. If you cannot legally enter into a contract on your own, you may use the service only with valid permission from your legal representative.

2. The service

FilesUp lets you send files and messages to people identified by email address or phone number, organising shares into a conversation or topic. A recipient can access the transfer in a browser without creating an account, using a specific link.

The service is a temporary delivery mechanism, not permanent storage or a backup service. You must keep the originals and suitable copies of your files.

Features, available apps, capacity and limits may evolve. If a change materially reduces a contracted feature, we will seek to give reasonable advance notice unless urgent action is required for security, abuse or legal compliance.

3. Account, codes and access links

Accounts use passwordless access through a one-time code sent by SMTP email infrastructure or, for phone access, through MessageBird. You are responsible for keeping control of the email address, phone number, device and session linked to your account and for signing out on shared devices.

A FilesUp public link is a bearer credential: anyone who obtains the complete link can use the access capability it contains while valid. Do not publish, forward or store it in an insecure place. Check the intended recipient carefully before sending.

Tell us immediately if you suspect unauthorised access. We may invalidate sessions or links, rate-limit attempts and require a fresh verification to protect accounts, recipients and infrastructure.

FilesUp does not provide end-to-end encryption

We use secure connections, permissions and hard-to-guess links, but FilesUp and its technical providers can process files as needed to store and deliver them, create thumbnails and operate the service.

4. Availability, deletion and history

File binaries and download archives remain accessible for 240 hours (10 days) from the time the transfer becomes available, unless deleted or blocked earlier. Access ends at that point and the infrastructure performs the object-deletion process.

The conversation timeline, messages, file names and other metadata, persistent thumbnails, and delivery or download records may remain while the account and relevant topic exist. Deleting the binary after ten days does not automatically remove that history.

You can delete content or request account deletion using product controls or the privacy contact. Limited records may be preserved where necessary to comply with law, handle reports, prevent abuse or establish and defend legal claims.

5. Your content and responsibilities

You keep your rights in files, messages and other content you provide. You give us a limited, non-exclusive licence, lasting only as long as needed, to host, technically reproduce, create thumbnails of, transmit and make that content available under your instructions and these terms.

You represent that you have the rights and lawful grounds needed to upload and share the content and recipient details; that the share does not infringe third-party rights; and that you selected the correct recipient. Do not use FilesUp for data or content if you cannot accept the risks of a bearer link and the absence of end-to-end encryption.

6. Communications and message suggestions

Transactional communications — such as access codes, sharing invitations, security alerts, service confirmations and legal notices — are needed to provide or protect the service and are not marketing. Not all can be disabled while you keep an account or active share.

Promotional FilesUp communications by email or SMS are sent only after a separate, optional choice. Refusing marketing does not prevent account creation or use of the service; you can withdraw your choice at any time without affecting transactional messages.

An AI message suggestion is requested only when you click that option. To generate it, FilesUp may send OpenAI the recipient's display name and file names, extensions and sizes — not the file binaries. The request uses store: false. Suggestions are editable and become part of the conversation only if you choose and send one.

7. Illegal content, reports and measures

You can report a file, link or behaviour you believe is illegal or breaches our rules through the notice-and-action mechanism. A sufficiently precise report should include the exact location, substantiated reasons and the good-faith statement shown on that page.

We may remove or disable content, revoke links, limit features, preserve evidence, suspend or close accounts where reasonably necessary to comply with law or these terms or to protect third parties and infrastructure. We seek to decide in a timely, diligent, objective, non-arbitrary and proportionate manner, taking context and the fundamental rights involved into account.

Where applicable and legally permitted, we will tell the affected person our decision and reasons. You may request reconsideration through the abuse contact. Nothing here limits your right to contact competent authorities or use available legal remedies.

8. Availability and liability

We provide the service with reasonable care but do not promise uninterrupted availability, recovery of incomplete uploads, compatibility with every file or complete freedom from defects. We may perform maintenance and apply proportionate size, volume, speed or quota limits.

To the fullest extent permitted by law, we are not liable for indirect loss or consequences of your failure to keep a copy, selection of the wrong recipient, disclosure of a link or breach of these terms. Nothing excludes liability that cannot lawfully be excluded, including for fraud, personal injury caused by fault or mandatory consumer rights.

9. Suspension, termination and changes

You may stop using FilesUp and close your account. We may suspend or terminate access for material or repeated breach, security risk, lack of technical capacity, a competent authority's requirement or discontinuation of the service. Where circumstances allow, we will give notice and a reasonable opportunity to remedy or challenge the issue.

We may update these terms. Material changes apply prospectively and will be presented for fresh acceptance where needed. The version and effective date appear at the top of this page.

10. Governing law and contact

These terms are governed by Portuguese law. Portuguese courts have jurisdiction, without prejudice to mandatory consumer rules that provide another forum or dispute-resolution right.

Privacy questions may be sent to privacy@filesup.app. Content or abuse reports must be sent to abuse@filesup.app. If one provision is invalid, the remaining provisions continue; failure to enforce a right is not a waiver.
